Terms of Service

These Terms of Service ("Terms") govern your access to and use of Sofra House — our mobile apps, websites, and related services (together, the "Service"), operated by Nadi For Investment LLC ("Sofra House", "we", "us", or "our"). By creating an account or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Service.

1. What the Service Is

Sofra House is a marketplace that connects independent home and small-business cooks ("Kitchen Partners" or "Chefs") with customers who want to order home-cooked meals for delivery.

We are not a restaurant and do not prepare, cook, or deliver food ourselves. Each Kitchen Partner is an independent business responsible for the meals they list, prepare, and fulfill. Sofra House provides the platform, payment processing, and order coordination that connects Kitchen Partners with customers.

2. Accounts & Eligibility

You must be at least 18 years old to create an account. You sign in using your phone number, verified by a one-time code — keep that number and any device you've enabled biometric unlock on secure, since it's how the Service authenticates you.

You're responsible for all activity under your account. Tell us right away at support@nadillc.com if you suspect unauthorized access.

We may suspend or close an account that violates these Terms, provides false information, or is used fraudulently or abusively.

3. Orders, Pricing & Payment

Menus, prices, availability, and delivery fees are set by each Kitchen Partner (delivery fees may also reflect the driving distance between the kitchen and your address) and can change at any time. Some dishes are offered "Ready Now," from a limited same-day batch, prepared in advance; others are "Schedule Ahead," for a date and time you choose, up to 7 days out, within that kitchen's open hours.

All payments are processed securely by Stripe, Inc. We never see or store your full card number. When you place an order we authorize and charge your chosen payment method for the order subtotal, applicable tax, and delivery fee.

A Kitchen Partner may decline an order (for example, if they can't fulfil it in time); if that happens, or if an order goes unanswered past its response window, or an item turns out to be unavailable, you'll be refunded automatically and the charge reversed. We'll notify you either way.

4. Cancellations & Refunds

You can cancel an order for free within a short window right after placing it, or any time before the kitchen has accepted it. Once a Kitchen Partner has accepted your order and started preparing it, cancelling may carry a cancellation fee that increases the further along the order is (accepted → preparing → ready), reflecting food and work already committed. Delivery fees and tax on a cancelled order are always refunded in full regardless of stage.

Where we ask a Kitchen Partner to cancel an order they've already accepted, we apply a similar fee-and-credit structure in reverse — the affected customer is refunded in full and may receive additional account credit for the inconvenience.

Refunds are issued to your original payment method and, depending on your bank, can take several business days to appear.

5. Kitchen Partners (Chefs)

If you register as a Kitchen Partner, you are an independent operator, not an employee, contractor, partner, or agent of Nadi For Investment LLC. You are solely responsible for complying with all applicable food-safety, health-permit, business-licensing, and labeling laws for your jurisdiction, for the accuracy of your menu and pricing, and for the quality and safety of the food you prepare.

We may require you to upload supporting documents (for example, a food establishment license or food-handler certificate) before your kitchen is shown to customers, and to keep them current. We may remove a listing, pause a kitchen, or hold payouts if required documents are missing, expired, or rejected on review.

Payouts to Kitchen Partners are made via Stripe Connect to the bank account or debit card the partner registers directly with Stripe — we do not collect or store your bank account or routing number ourselves. Our commission on each order, and any payout schedule or minimum, is disclosed in the app and may be updated with notice.

6. Delivery

Delivery is coordinated as part of the order and is only offered to addresses within a kitchen's serviceable delivery range. Delivery times are estimates, not guarantees — they can be affected by traffic, weather, order volume, and other factors outside our control. If an order is genuinely running behind, we'll try to let you know in the app.

7. Reviews & Ratings

Customers may rate and review a kitchen or dish after an order is completed. Reviews must reflect a genuine order experience and may not contain harassment, hate speech, or content unrelated to the food or service. We may remove a review, or take action against an account, that violates this.

8. Messaging & Conduct

The Service includes in-app messaging between a customer and the kitchen fulfilling their order, to coordinate on that order. Messages are automatically screened for abusive, threatening, or otherwise prohibited content; repeated violations can result in a temporary or permanent messaging suspension, independent of any action on your account as a whole.

You agree not to use the Service to harass, threaten, defraud, or impersonate anyone; to share content that is illegal, obscene, or infringes someone else's rights; to attempt to circumvent the platform to transact outside it; or to interfere with the Service's normal operation.

9. Food Safety & Allergen Disclaimer

Meals are prepared by independent Kitchen Partners, often in home or small commercial kitchens rather than licensed restaurant facilities regulated the same way. While we ask Kitchen Partners to disclose known allergens and dietary tags accurately, Sofra House does not independently test, inspect every meal, or guarantee that any dish is free of a particular allergen or ingredient. If you have a food allergy or sensitivity, message the kitchen directly before ordering, and use your own judgment.

10. Intellectual Property

The Sofra House name, logo, and app design are owned by Nadi For Investment LLC. Kitchen Partners retain ownership of the photos, descriptions, and content they upload for their own listings, and grant us a license to display that content on the platform to operate the Service.

11. Disclaimers & Limitation of Liability

The Service is provided "as is." To the fullest extent permitted by law, Nadi For Investment LLC disclaims all warranties, express or implied, regarding the Service, and is not liable for the acts or omissions of any Kitchen Partner, delivery issue, or the quality, safety, or legality of any meal. To the extent permitted by law, our aggregate liability to you for any claim relating to the Service is limited to the amount you paid us for the order giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law.

12. Indemnification

You agree to indemnify and hold Nadi For Investment LLC harmless from claims, damages, and expenses (including reasonable legal fees) arising from your violation of these Terms or misuse of the Service. A Kitchen Partner additionally agrees to indemnify us for claims arising from the food they prepare or sell.

13. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate access to the Service, for any account, if we believe these Terms have been violated, to protect the Service or other users, or as required by law.

14. Changes to These Terms

We may update these Terms from time to time. If we make a material change, we'll let you know in the app before it takes effect. Continuing to use the Service after a change takes effect means you accept the updated Terms.

15. Governing Law

These Terms are governed by the laws of the state in which Nadi For Investment LLC is organized, without regard to conflict-of-law principles, except where local consumer-protection law requires otherwise.
